Terms and Conditions

This is the legal agreement between you and XPET Technologies, Inc. for the XPET website, application, and related services, including subscriptions and diabetes tracking.

These Terms and Conditions ("Terms") form a legal agreement between you and XPET Technologies, Inc. ("XPET," "we," "us," or "our") governing your use of the XPET website, application, and related services (the "Services"). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Eligibility

You must be at least 18 years old to create an account or use the Services. By creating an account, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

Description of the Services

XPET is a personalized pet health management platform. Depending on the features you use, the Services may allow you to:

  • create profiles for your pets;
  • upload and store genetic, breed, trait, oral-health, and microbiome reports from pet DNA testing providers;
  • upload or receive veterinary health records, including blood-test and other lab results;
  • log and track diabetes and glucose monitoring data manually and, where supported, through integration with continuous glucose monitors (CGMs) or other connected devices;
  • view trend charts, threshold-based alerts, and AI-generated insights and recommendations based on the data above; and
  • manage a subscription for premium features.

The Services are informational and organizational tools. They are not a substitute for professional veterinary care. See Section 8 for important limitations.

Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@xpet.technology if you suspect unauthorized use. You agree to provide accurate information when creating your account and pet profiles and to keep it up to date.

Your content and license to XPET

You retain ownership of the data, files, and records you upload or otherwise provide to XPET, including genetic reports, veterinary records, glucose logs, and any other content associated with your pet's profile ("Your Content").

By uploading or submitting Your Content, you grant XPET a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, parse, analyze, and display Your Content solely to (a) provide and operate the Services for you, (b) generate the insights, trends, and alerts you request, and (c) as described in our Privacy Policy, including the creation of de-identified or aggregated data used to improve the Services. This license ends when you delete Your Content or close your account, except to the extent a copy is retained as required by law or as described in our Privacy Policy.

You represent that you have the right to upload Your Content — for example, that a report was lawfully issued to you or your pet, or that you are authorized to share veterinary records you upload on a pet's behalf.

AI-generated insights and platform ownership

XPET uses automated processing, including AI, to generate personalized insights, summaries, trend analyses, risk indicators, and recommendations from Your Content ("Generated Insights").

What you can do

Use Generated Insights for your own personal, non-commercial purposes, including sharing them with your veterinarian.

What XPET retains

XPET and its licensors retain all right, title, and interest in the Services themselves, including the underlying software, models, algorithms, design, and all XPET trademarks and branding.

Nothing in this section or Section 4 transfers ownership of the platform, methods, or technology used to generate Generated Insights. Generated Insights are provided as is for informational purposes and are subject to the disclaimer in Section 8.

Acceptable use

You agree not to:

  • use the Services for any unlawful purpose or in violation of these Terms;
  • upload content that is fraudulent, or that you do not have the right to upload, for example another person's pet records without authorization;
  • attempt to reverse-engineer, scrape, or interfere with the Services or their underlying models and infrastructure;
  • use automated means to access the Services except through interfaces we provide;
  • misrepresent your identity or your relationship to a pet's records; or
  • use the Services to make veterinary or medical decisions in place of consulting a licensed veterinarian.

We may suspend or terminate accounts that violate this section.

Third-party services, reports, and devices

The Services may allow you to upload reports from third-party pet DNA testing providers, connect veterinary clinic record systems, or integrate with third-party devices such as continuous glucose monitors ("Third-Party Services"). XPET does not create, manufacture, verify, or control Third-Party Services and is not responsible for their accuracy, availability, or performance. Your use of Third-Party Services may be subject to additional terms from those providers.

Where a connected device, such as a CGM, is used with the Services, additional device-specific disclosures and limitations will be presented to you at setup and are incorporated into these Terms.

Medical and veterinary disclaimer

XPET is not a substitute for professional veterinary care.

The Services, including all trend charts, alerts, and Generated Insights, are provided for informational and organizational purposes only. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition, and they do not constitute veterinary advice.

General health data

Genetic, breed, trait, oral-health, microbiome, and veterinary-record information displayed in the Services is provided to help you organize and understand your pet's information, not to replace evaluation by a licensed veterinarian.

Diabetes and glucose monitoring

XPET's diabetes tracking features, including manual logging, trend charts, threshold alerts, AI-generated insights, and any CGM or device integration, are supportive tracking tools only. They are not a veterinary medical device, have not been evaluated or approved by the FDA or any other regulatory authority for diagnostic use, and are not a substitute for clinical monitoring. Glucose alerts may be delayed, missed, or inaccurate due to input error, device limitations, or connectivity issues.

Do not rely on XPET as your sole means of monitoring a diabetic pet. If your pet may be experiencing a medical emergency, contact your veterinarian or an emergency veterinary clinic immediately.

Always consult a licensed veterinarian before making decisions about your pet's diagnosis, treatment, medication, including insulin dosing, or care.

Health record accuracy

XPET parses and displays data from files you upload or that are shared by third parties, such as veterinary clinics or DNA testing providers. While we take reasonable steps to process this data accurately, we do not guarantee the accuracy, completeness, or timeliness of any parsed, displayed, or Generated Insight. Always refer to the original source report or your veterinarian to confirm any result that will inform a care decision.

Fees and the free tier

XPET currently offers the Services under a freemium model: certain features are available at no cost, and additional features are available through a paid subscription ("Premium"). We may change which features are free or Premium at any time, with notice where required by law.

Subscriptions, billing, and cancellation

If you purchase a Premium subscription, the following applies:

Billing

You authorize us, or our payment processor, to charge your chosen payment method for the subscription fee and any applicable taxes, on the cadence you select, for example monthly or annual.

Auto-renewal

Subscriptions automatically renew at the end of each billing period (monthly or annually, depending on the plan you select) at the then-current price, unless you cancel before the renewal date. Your payment method will be charged through the app store or payment processor associated with your purchase.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain Premium access until then.

Refunds

If you purchased your subscription through the Apple App Store, Google Play Store, or another app store, all refund requests are handled by that platform under its refund policy, not by XPET directly. To request a refund, contact Apple or Google support, or manage the request through your app store account. XPET does not process refunds for app-store purchases and cannot override a platform's refund decision. For subscriptions purchased directly through the XPET website, fees are non-refundable except where required by applicable law, including for the unused portion of a billing period after cancellation.

Price changes

We will provide advance notice of any price increase before it applies to your next billing cycle.

Downgrades

If you cancel Premium or your payment fails, your account will revert to the free tier, and access to Premium-only data or features may be limited, though Your Content will not be deleted solely due to a downgrade.

Termination

You may close your account at any time through your account settings or by contacting support@xpet.technology. We may suspend or terminate your access to the Services if you violate these Terms, pose a security risk, or as otherwise permitted by law. Upon termination, your right to use the Services ends; Sections 4–5, 8–9, and 13–18 survive termination. Our handling of your data after account closure is described in our Privacy Policy.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of data. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any Generated Insight will be accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

Limitation of liability

To the maximum extent permitted by law, XPET and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from or related to your use of the Services, including any harm to your pet arising from reliance on trend data, alerts, or Generated Insights.

XPET's total liability for any claim arising from these Terms or the Services will not exceed the greater of (a) the amount you paid XPET in the 12 months before the claim arose, or (b) US$100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold XPET harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your misuse of the Services, or Your Content, except to the extent caused by XPET's own breach of these Terms.

Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights.

Agreement to arbitrate

Except as set out below, you and XPET agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court.

Class action waiver

You and XPET agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, consolidated, or representative action.

Carve-outs

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or prevent unauthorized access to the Services.

Opt-out

You may opt out of this arbitration agreement by emailing legal@xpet.technology with your name and account email within 30 days of first agreeing to these Terms. If you opt out, disputes will be resolved in the courts identified in Section 17.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except where the arbitration agreement above applies. Where a dispute is not subject to arbitration or a party has opted out, the parties consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice, such as an in-app notification or email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

General provisions

Entire agreement

These Terms, together with our Privacy Policy and any feature-specific disclosures, such as a diabetes and glucose monitoring disclosure, constitute the entire agreement between you and XPET regarding the Services.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

No waiver

Our failure to enforce any provision is not a waiver of that provision.

Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control.
